The Manager is responsible for identifying investment opportunities
which meet the Fund’s objectives and investment strategy, analysing
proposed investments, preparing and making recommendations for
investments and divestitures to the Investment Committee in
respect of investments or divestitures in excess of $1 million
and, other than in respect of transactions involving the Fund
and APIF, making investment and divestiture decisions for amounts
of up to and including $1 million.
The Manager will structure and negotiate investments, subject
in some cases to approval by the Investment Committee. In addition,
the Manager will make recommendations as to the appropriate
timing, terms and methods of realizing on the Fund’s investments.
The Manager will monitor the Fund’s portfolio investments,
which may include actively participating on investee companies’
boards of directors and evaluating financial and other key performance
indicators. In addition, the Manager will seek to add value
to the businesses in which the Fund invests through activities
such as assisting in the development of strategic plans, providing
business advice with respect to projects and markets, developing
relationships with strategic industry partners, assessing key
personnel, evaluating productivity, enhancing industrial relations
and helping to secure new markets, when necessary. This may
involve engaging the services of individuals with special expertise
and other investment advisers from time to time.
The Manager was organized to provide to the Fund with the services
described above.
